Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Saygents service ("Service"). By using the Service you agree to these Terms. If you are using the Service on behalf of a business, you represent that you have authority to bind that business, and "you" means the business.
1. The Service
Saygents lets you configure AI agents that send and receive messages on your behalf through channels you connect (for example Facebook Messenger, Instagram DM, WhatsApp, SMS, email, or a website widget). You are responsible for the content of the messages sent by your agents and for the accuracy of information they provide.
2. Eligibility and accounts
You must be at least 18 years old and able to form a binding contract. You are responsible for keeping your account credentials secure and for all activity under your account. Notify us at info@saygents.com if you suspect unauthorized access.
3. Subscription, fees, and billing
The Service is offered on a monthly subscription. Fees, included agent count, and overage pricing are shown at checkout. Payments are processed by Stripe. Subscriptions renew automatically each month until cancelled.
Full month at signup. When you subscribe, you are charged for one full month of Service immediately. Saygents does not prorate the first month or any subsequent month. Your monthly billing cycle is anchored to the day you sign up — for example, if you subscribe on the 14th of a month, every renewal will occur on the 14th. If your signup day does not exist in a given month (such as the 31st in February), the renewal will occur on the last day of that month.
No refunds. All fees paid to Saygents are non-refundable. You can cancel at any time from the dashboard; cancellation stops your next renewal but does not refund the current month, and your agent will remain live through the end of the month you have already paid for. This no-refund policy applies regardless of how much of the month remains, whether your agent has been deployed, or whether you have used your conversation allowance, except where a refund is required by applicable law or expressly granted in writing by Saygents. If a payment fails, we may suspend the Service until the balance is resolved.
4. Your content and data
You retain ownership of the messages, images, and other content you or your agents send or receive through the Service ("Your Content"). You grant Saygents a worldwide, royalty-free license to host, process, and transmit Your Content solely as needed to provide the Service to you. We handle personal data in accordance with our Privacy Policy.
5. Connected platforms
When you connect a third-party platform (such as Facebook, Instagram, WhatsApp, Twilio, or a mail provider) you are also bound by that platform's terms. You represent that you have the right to connect those accounts to Saygents and that you will not use Saygents to violate the rules of any connected platform. We may suspend or disable a connection if the platform requires it or if we detect abuse.
6. Acceptable use
You agree not to use the Service to:
- send spam, phishing, or deceptive messages;
- impersonate a person or business you do not represent;
- collect children's data or market to minors;
- handle regulated data (health information, payment card data, or similar) without a written agreement with us;
- harass, threaten, or defame any person or group;
- circumvent rate limits, attempt to reverse-engineer the Service, or interfere with its operation;
- generate content that is illegal, infringes intellectual property, or violates a connected platform's rules.
We may suspend or terminate accounts that violate this section.
7. AI output
AI models can produce incorrect or inappropriate output. You are responsible for reviewing and configuring your agents so their replies are suitable for your customers. Saygents does not guarantee that AI-generated responses will be accurate, complete, or free of errors, and we are not liable for decisions made based on those responses.
8. Intellectual property
Saygents and its licensors own the Service, including all software, designs, trademarks, and documentation. We grant you a non-exclusive, non-transferable right to use the Service during your subscription. You may not copy, sublicense, resell, or create derivative works of the Service except as expressly permitted.
9. Disclaimers
The Service is provided "as is" and "as available." To the maximum extent permitted by law, Saygents disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.
10. Limitation of liability
To the maximum extent permitted by law, Saygents will not be liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, goodwill, or data, arising out of or related to these Terms or the Service. Our aggregate liability for any claim will not exceed the fees you paid to Saygents in the 12 months before the claim.
11. Indemnification
You agree to defend and indemnify Saygents and its officers, employees, and agents against any claim arising out of (a) Your Content, (b) your breach of these Terms, (c) your misuse of the Service, or (d) your violation of a connected platform's terms or a third party's rights.
12. Term and termination
These Terms stay in effect while your account exists. Either party may terminate the subscription at any time as described in Section 3. We may suspend or terminate immediately for cause (non-payment, breach, abuse, or legal risk). On termination, your right to use the Service stops and we delete your data as described in the Privacy Policy.
13. Changes to the Terms
We may update these Terms from time to time. Material changes take effect 14 days after we notify you by email or post a notice in the dashboard. Continued use after the effective date constitutes acceptance.
14. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law rules. Any dispute will be resolved in the state or federal courts located in Delaware, and each party consents to personal jurisdiction there.
